1. About us and these terms

  1. This website, www.woodstarpartners.co.uk (the "Site"), is operated by Woodstar Partners Ltd ("Woodstar Partners", "we", "us" or "our"). We are a private company limited by shares registered in England and Wales under company number 16852044. Our registered office and principal place of business is 86-90 Paul Street, London, EC2A 4NE.   2. These terms and conditions ("Terms") govern your access to and use of the Site. By accessing or using the Site you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Site.
  3. These Terms apply to use of the Site only. They do not govern the provision of any audit, assurance, accounting, advisory or other professional service. Professional services are provided solely under a written engagement letter and our standard terms of business issued to the client, which take precedence over these Terms in relation to those services. Nothing on the Site creates a client relationship between you and Woodstar Partners.
  4. We may update these Terms from time to time. The version in force is the one published on the Site, identified by the "Last updated" date above. Please check this page each time you use the Site.

2. Our regulatory status

  1. Woodstar Partners Ltd is registered as auditors in the United Kingdom by the Association of Chartered Certified Accountants (ACCA). Details of our audit registration can be inspected on the Register of Statutory Auditors at www.auditregister.org.uk. The register is maintained under the Companies Act 2006 and the Statutory Auditors and Third Country Auditors Regulations 2016. The Financial Reporting Council is the competent authority for statutory audit in the United Kingdom, with certain functions delegated to ACCA as a recognised supervisory body.
  2. Our audit work is led by a Responsible Individual who holds an ACCA practising certificate and is authorised to sign UK statutory audit reports. Principals who are members of ACCA are entitled to use the professional title "Chartered Certified Accountants", granted in the United Kingdom. We are bound by the ACCA Rulebook, including the Code of Ethics and Conduct and the Global Practising Regulations, which can be viewed at www.accaglobal.com. When carrying out statutory audits we comply with the FRC Ethical Standard and International Standards on Auditing (UK).
  3. Woodstar Partners Ltd is supervised for anti-money laundering purposes by ACCA under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017. We are required to verify the identity of clients and beneficial owners before providing services and may be prevented from acting where we cannot do so.
  4. Woodstar Partners Ltd is not authorised or regulated by the Financial Conduct Authority and does not provide investment, insurance or other regulated financial services.
  5. In accordance with the Provision of Services Regulations 2009, we hold professional indemnity insurance. Further details are available on request from the contact address in section 1.

3. Use of the Site

  1. The Site is made available free of charge for information purposes. We do not guarantee that the Site, or any content on it, will always be available or uninterrupted, and we may suspend, withdraw or restrict the availability of all or any part of the Site for business or operational reasons.
  2. You must not:

(a) use the Site in any way that breaches applicable law or regulation, or for any fraudulent or unlawful purpose;

(b) attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to it;

(c) knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or attack the Site by way of a denial-of-service attack;

(d) use automated means (including scraping, crawling or data-mining tools) to extract content from the Site other than as permitted by search engines indexing publicly available pages; or

(e) reproduce, duplicate, copy or resell any part of the Site in contravention of these Terms.

  1. A breach of clause 3.2 may be a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and will co-operate with them by disclosing your identity to them. Your right to use the Site will cease immediately.

4. Information on the Site is not advice

  1. The content of the Site is provided for general information only. It does not constitute accounting, audit, tax, legal, financial or other professional advice and should not be relied upon as such. You should obtain specific professional advice before taking, or refraining from taking, any action on the basis of the content of the Site.
  2. Although we make reasonable efforts to keep the information on the Site up to date, we make no representations, warranties or guarantees, whether express or implied, that the content is accurate, complete or current. Content may refer to legislation, standards or regulatory requirements that have since changed.

5. Intellectual property

  1. We are the owner or the licensee of all intellectual property rights in the Site and in the material published on it, including text, graphics, logos, page layout and downloadable documents. Those works are protected by copyright and other laws of the United Kingdom and worldwide. All such rights are reserved.
  2. You may print or download extracts of any page from the Site for your personal or internal business reference, and may draw the attention of others within your organisation to content posted on the Site, provided that you do not modify the material and you acknowledge Woodstar Partners as its source.
  3. You must not use the Woodstar Partners name or logo, the ACCA logo, or any third-party logo or trade mark appearing on the Site without the prior written consent of the relevant rights holder. Use of the ACCA logo is subject to ACCA's own guidelines.

6. Linking to and from the Site

  1. You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists, and you must not frame the Site on any other site. We reserve the right to withdraw linking permission without notice.
  2. Where the Site contains links to other websites and resources provided by third parties, those links are provided for your information only. We have no control over the content of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

7. Privacy, cookies and data protection

  1. Woodstar Partners Ltd is the controller of personal data collected through the Site, including information you submit through the contact form or by email. We process personal data in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018, each as amended by the Data (Use and Access) Act 2025, and the Privacy and Electronic Communications (EC Directive) Regulations 2003 (as amended).

Our Privacy Notice explains what personal data we collect, why we collect it, our lawful bases (including our legitimate interests in responding to enquiries and operating the Site), how long we keep it, who we share it with, and your rights.   3. We use cookies and similar technologies on the Site. Strictly necessary cookies are used without consent. Where we use cookies solely to collect statistical information about how the Site is used, or to improve its functionality, we will give you clear information about them and a simple means of objecting, as permitted by the Regulations. Any other non-essential cookies are used only with your consent, which you can withdraw at any time through your browser settings or the cookie controls on the Site.
  4. You have the right to request access to, rectification or erasure of, or restriction of processing of your personal data, to object to processing, and to data portability, subject to the conditions set out in the legislation.   5. If you have a complaint about the way we handle your personal data, please raise it with us by email at info@woodstarpartners.co.uk or by post to the address in section 1. We will acknowledge your complaint within 30 days of receipt, investigate it without undue delay and inform you of the outcome. You also have the right to lodge a complaint with the Information Commissioner's Office (www.ico.org.uk, telephone 0303 123 1113) at any time.

8. Security and viruses

  1. We take reasonable steps to keep the Site secure, but we do not guarantee that the Site will be free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access the Site and should use your own virus protection software, in particular before opening any document downloaded from the Site.
  2. The Site is not a secure channel for confidential or sensitive information. Please do not submit confidential client material through the contact form; we will agree a secure means of exchanging documents with you as part of any engagement.

9. Disclaimer and limitation of liability

  1. The Site and its content are provided on an "as is" and "as available" basis. To the extent permitted by law, we exclude all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or the law of equity in relation to the Site and its content.
  2. To the extent permitted by law, we will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, the Site, or use of or reliance on any content displayed on the Site. In particular, we will not be liable to business users for loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss.
  3. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. If you are a consumer, nothing in these Terms affects your statutory rights, including under the Consumer Rights Act 2015.
  4. Our liability for professional services is governed exclusively by the engagement letter for those services, not by these Terms.

10. Complaints about our services

  1. We aim to provide a high standard of service. If you are dissatisfied with any aspect of our service, please write to the engagement partner or to Oleksandr Vertyporokh, UK Audit Partner, at info@woodstarpartners.co.uk or at the address in section 1. We will acknowledge your complaint promptly, investigate it and respond as quickly as possible.
  2. If you are not satisfied with our response, you may refer your complaint to the Association of Chartered Certified Accountants, our professional body and regulator. Details of how to complain to ACCA are available at www.accaglobal.com.

11. General

  1. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force.
  2. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right.
  3. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.
  4. These Terms, together with our Privacy Notice, constitute the entire agreement between you and Woodstar Partners relating to use of the Site.

12. Accessibility

13. Governing law and jurisdiction

  1. These Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by the law of England and Wales.
  2. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site, except that if you are a consumer resident in Scotland you may also bring proceedings in Scotland, and if you are a consumer resident in Northern Ireland you may also bring proceedings in Northern Ireland.
